Terms of service
Last updated: 26 October 2026
These terms are an agreement between Revzio Pte. Ltd., a company registered in Singapore (UEN 202534052M) (“Revzio”, “we”, “us”), and the company or organisation that signs up for Ledgerra (the “Customer”, “you”). The person who accepts these terms confirms that they are authorised to bind the Customer. Ledgerra is for business use only.
1. The Service
Ledgerra connects to your Stripe, QuickBooks Online and Google Drive accounts, reads the data and documents you authorise, checks them against each other, and shows you findings with their evidence (the “Service”).
2. Beta
The Service is in beta. During the beta:
- it is free, unless we agree otherwise in writing;
- it reads from Stripe and QuickBooks Online but does not make changes in them;
- features may change or be withdrawn, and we may limit who can use it.
3. Your account
- Give us accurate information and keep sign-in details secure.
- You are responsible for your users and for activity under your account. Tell us promptly at ledgerra@revzio.ai if you suspect unauthorised use.
- Each user must be at least 18, and anyone who connects a service must be authorised to do so for your company.
4. Connected services
- When you connect Stripe, QuickBooks Online or Google Drive, you authorise us to access the data those services make available under the permissions you approve, on your behalf and only to provide the Service.
- Those services are provided by other companies under their own terms. We are not responsible for them, their availability, or changes they make to their products or interfaces.
- You can disconnect any service at any time, in Ledgerra or in that service's settings.
5. Ledgerra proposes, you decide
- Findings, explanations and proposed fixes are suggestions to help your team review its records. They can be incomplete or wrong, including where they rely on AI to read documents.
- You are responsible for reviewing findings, for the decisions you make, and for anything you approve.
- The Service does not provide accounting, tax, legal, audit or financial advice, and it does not replace your accountant or auditor.
- When features that make changes in connected services become available, Ledgerra will make a change only after an authorised user approves it, within the limits you set.
6. Your data
- You own the data from your connected services and the documents you send us (“Customer Data”).
- You give us a limited right to host, copy, process and display Customer Data only to provide, secure and support the Service, as described in our privacy policy.
- We will not sell Customer Data or use it to train AI models.
- We may use aggregated, de-identified information about how the Service is used, which does not identify you or your customers, to run and improve it.
- You are responsible for having the rights, notices and consents needed for us to process Customer Data.
- Where we process personal data on your behalf, our data processing addendum, available on request, forms part of these terms.
7. Acceptable use
You must not:
- use the Service to break the law or to access accounts or data you are not authorised to access;
- upload malicious code, probe or bypass the Service's security, or interfere with its operation;
- copy, reverse engineer or resell the Service, or use it to build a competing product.
8. Fees
The Service is free during the beta. Before any paid plan applies to you, we will tell you the price at least 30 days in advance, and you can choose not to continue. Prices will not include taxes.
9. Confidentiality
Each party will keep the other's non-public information confidential, use it only for the purposes of these terms, and protect it with reasonable care. This does not apply to information that is public, already known to the receiving party, independently developed, or lawfully received from someone else, or that the law requires a party to disclose. Customer Data is your confidential information.
10. Our intellectual property and your feedback
We own the Service. While these terms apply, you may use it for your internal business purposes; this right is non-exclusive and non-transferable. If you send us feedback or suggestions, we may use them without any obligation to you.
11. Disclaimers
To the extent the law allows, the Service is provided “as is” and “as available”, without any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy or uninterrupted availability. We do not promise that the Service will find every discrepancy, or that every finding is correct.
12. Limitation of liability
- Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data.
- Each party's total liability under these terms in any 12-month period is limited to the greater of the fees you paid for the Service in the 12 months before the claim and US$100.
- These limits do not apply to your breach of section 7, to fraud or wilful misconduct, or to any liability that the law does not allow to be limited.
13. Indemnity
You will defend and indemnify us against third-party claims arising from your Customer Data, your breach of section 7, or your violation of law.
14. Term, suspension and ending these terms
- These terms apply while you use the Service. You can stop using it and close your workspace at any time.
- We may end these terms on 30 days' notice, or immediately if you materially breach them or if the law or a connected service requires it.
- We may suspend access when needed to prevent harm, abuse or a security risk, and will tell you why when we can.
- When these terms end, your access stops, you have 30 days to export your findings, and we delete Customer Data as described in the privacy policy. Sections 6 and 9 to 16 continue to apply.
15. Changes
We may update the Service and these terms. For a material change to these terms, we will tell you by email or in the app at least 30 days before it takes effect, unless the law requires a change sooner. If you keep using the Service after a change takes effect, the updated terms apply.
16. Governing law and disputes
These terms are governed by the laws of Singapore. The parties will first try to resolve any dispute through good-faith discussion for 30 days. Any dispute that remains will be finally resolved by arbitration administered by the Singapore International Arbitration Centre under its rules then in force, with the seat in Singapore, one arbitrator, and English as the language of the arbitration. Either party may ask any competent court for urgent interim relief.
17. General
- Assignment: you may not transfer these terms without our written consent. We may transfer them to a company in the Revzio group, including a subsidiary that operates Ledgerra, or to a successor in a merger, acquisition or sale of assets, and will tell you when we do.
- Whole agreement: these terms, the privacy policy, the data processing addendum and any order form we both sign are the whole agreement about the Service.
- Other terms: if a court or arbitrator finds part of these terms unenforceable, the rest still applies. Not enforcing a right is not a waiver of it. Neither party is liable for delays caused by events beyond its reasonable control.
- Notices: we will send notices to the email address of your account owner. Send notices to us at ledgerra@revzio.ai.
- Third parties: no one other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 2001 of Singapore.
